Mark Dudley Web – Terms & Conditions
These Terms & Conditions (“Terms”) apply to all services provided by Mark Dudley Web (“I”, “me” or “Mark Dudley Web”). By purchasing or using my services, you agree to these Terms.
1. About Mark Dudley Web
Mark Dudley Web provides:
- Annual fully managed websites using a Website-as-a-Service (WaaS) model;
- Separately quoted design-only website builds with completed files supplied;
- One-off fixes and tailored Website Care; and
- Optional paid add-ons, including professional mailboxes.
Services are provided to small businesses and organisations in the United Kingdom.
Unless agreed otherwise in writing, the client confirms that they are purchasing the services for business or organisational purposes.
2. The Service – Website Build (Managed Websites)
Annual managed website plans include the initial design and build and are paid in full before work begins. Design-only website builds are quoted and paid for separately.
- Starter: £300 for a 12-month managed plan and a single-page website.
- 5-Page Website: £480 for a 12-month managed plan and up to five pages.
Managed plans include the agreed custom website design, responsive layout, contact forms and social links, hosting, an available .co.uk domain, maintenance, backups, SEO basics, direct support, the applicable minor content-update allowance, and a light visual refresh when the annual plan renews. Professional mailboxes and other add-ons are charged separately.
A service order is accepted when the scope and price have been confirmed and payment has been received. Reduced community pricing or any variation from the standard plans will be recorded in the written quote or order confirmation.
Websites are typically designed and prepared for preview within 14 working days after the required upfront payment and all required content (including text, images and branding) have been received.
Delivery timelines may be extended if required information, feedback, approvals, or content are delayed.
3. Website-as-a-Service (Important)
Annual managed websites operate on a website-as-a-service basis. This means:
- A paid annual managed plan is required to keep the website live;
- If the plan is not renewed or payment fails, the website may be taken offline at the end of the paid service period;
- The annual managed-plan payment does not transfer permanent ownership of the website files; and
- When the paid plan ends, hosting, maintenance, domain renewal, updates and support end.
4. Revisions & Changes (Managed Websites)
Each Starter and 5-Page managed website build includes up to three revision rounds before launch.
Revisions cover reasonable adjustments to the agreed content.
Changes outside the agreed scope may require additional fees.
The Starter plan includes up to 10 minutes of minor content updates per month. The 5-Page plan includes up to 20 minutes per month. Unused time does not roll over. Additional content-update time may be purchased separately. Larger changes outside the agreed scope may be quoted separately.
Each renewed annual managed plan includes one light visual refresh. This may cover reasonable updates to colours, typography, images, spacing, and existing page layouts to help keep the website looking current. It does not include a full redesign, rebrand, new pages, rewritten content, or new functionality, which may be quoted separately.
5. Client Responsibilities
You agree to:
- Provide accurate and complete information
- Ensure you have the legal right to use any supplied content
- Respond promptly to feedback and approval requests
- Ensure all content complies with applicable laws and regulations
Delays in providing content or feedback may affect delivery timelines.
6. Payments
Annual managed website plans must be paid in full upfront before work begins. The price displayed when the order is agreed, or the price in a written quote, is the price that applies to that service period.
For design-only website builds, the agreed one-off build payment must be paid before work begins and is non-refundable once work has started, unless otherwise stated in the written quote.
Design-only website builds do not include ongoing hosting, maintenance, domain renewal, security monitoring or content updates unless these are included in the written quote.
Managed websites will not be made live until payment has been received and the website has been approved. Design-only files will not be supplied until the agreed payment has been received in full.
Annual managed plans renew yearly in advance.
Full payment is required upfront for Website Care, one-off fixes and Quick Help unless otherwise agreed in writing. Professional mailbox services, extra content-update time and other add-ons are charged separately at the price agreed before they are supplied.
Failed payments may be retried before service suspension.
7. Cancellations
Managed Websites
Annual plans cover a full 12-month service period. Except where required by law or expressly agreed in writing, no partial refund is provided if the client chooses to stop using the service during that period.
Your website will remain live until the end of the current billing period, after which it will be taken offline.
This section does not limit any statutory cancellation or refund rights that apply.
One-Off Build Payment
Payments for design-only builds are non-refundable once work has started, except where otherwise stated in the written quote or required by law.
8. Ownership, Domains & Use
While an annual managed plan is active, the client is granted a limited, non-transferable right to use the managed website for their business. Website source files are not supplied under a managed plan.
An available .co.uk domain is included and renewed while the managed service plan remains active. It will be registered in the client’s name, and the client will remain the domain owner. As part of the managed service, Mark Dudley Web will handle domain setup, renewals, and day-to-day management. Other domain extensions may incur separate registration and renewal charges. When the managed plan ends, included renewal stops; subject to any registrar transfer lock, the client may request the domain-management details needed to transfer or manage the domain elsewhere.
Newly registered domains or domains with recent changes may be subject to a standard transfer lock period (typically up to 60 days), during which the domain cannot be transferred to another registrar. This is an industry-standard requirement and is outside of Mark Dudley Web’s control.
Mark Dudley Web retains ownership of all underlying systems, templates, frameworks, reusable components, and technical configurations used to deliver managed websites.
Client-supplied content remains the property of the client.
Resale, redistribution, or reuse of the website or its components outside the service is not permitted.
For a separately agreed design-only build, the completed website files will be supplied after completion and full payment. The client is responsible for arranging hosting, deployment, maintenance, backups, security and future updates unless the written quote states otherwise. Any transfer of copyright in bespoke work must be confirmed in writing. Pre-existing tools, reusable components, third-party software, fonts, images and other licensed materials remain subject to their existing ownership and licence terms.
9. Acceptable Use
Websites must not be used for illegal, harmful, misleading, or infringing activities, including but not limited to:
- Illegal activities
- Fraud, scams, or misleading practices
- Harmful, abusive, or offensive content
- Infringement of third-party rights
Mark Dudley Web reserves the right to suspend or terminate services for material breaches of this section.
10. Limitation of Liability
To the maximum extent permitted by law, Mark Dudley Web is not liable for:
- Loss of profits, revenue, or business opportunities
- Indirect or consequential losses
- Issues caused by third-party services outside my control
Mark Dudley Web’s total liability is limited to the fees paid by the client in the previous 12 months. Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
11. Service Availability
Uninterrupted service is not guaranteed.
Downtime may occur for maintenance, updates, or external factors outside Mark Dudley Web’s control.
12. Changes to the Service or Terms
Mark Dudley Web may update services, pricing, or these Terms from time to time. A price change will not alter a service period that has already been paid for.
Material changes will be published with reasonable notice where possible.
13. Termination
Services may be suspended or terminated if:
- Payments are not made
- These Terms are breached
- The service is misused
14. Governing Law
These Terms are governed by the laws of England and Wales.

16. Website Care & One-Off Repairs
Mark Dudley Web also offers tailored Website Care, technical support, and one-off website repair services, separate from annual managed website plans.
The exact scope, price, payment schedule and, for recurring Website Care, cancellation arrangements will be confirmed in writing before work begins. Services may include hosting or DNS guidance, SSL and form checks, uptime monitoring, content fixes, and speed or image improvements, but only the items expressly agreed are included.
One-off repair services are limited strictly to the specific issue(s) agreed in writing before work begins. Once the agreed work has been completed and delivered, the service is considered fulfilled.
One-off repair services do not include:
- Ongoing support or maintenance
- Future updates or fixes
- Hosting, backups, or monitoring
- Responsibility for unrelated or pre-existing issues
Payment for one-off repair work is required in full before work begins, unless otherwise agreed.
Clients are responsible for ensuring suitable backups are available before one-off repair work begins, unless backup services are explicitly included as part of the agreed work.
Mark Dudley Web is not responsible for issues caused by:
- Third-party software, themes, plugins, or platforms
- Existing site configurations or hosting environments
- Future updates, changes, or external factors after the repair is completed
Where possible, reasonable care will be taken to avoid disruption. However, no guarantee is provided that repairs will permanently resolve all issues, particularly where third-party systems are involved.
Any further work required after completion will be treated as a new request and may be quoted separately.
